Quagga Terms of Service
Version 1.0, effective 2026-11-04
These Terms are an agreement between you and Matthew Maus, doing business as Q Sales, the operator of Quagga.
Key terms (a summary, not a substitute for the Terms)
This box points you to the parts of these Terms that matter most. It does not replace them. If the box and the full text differ, the full text applies.
- Renewal. Your plan renews every month and your card is charged until you cancel. You can cancel in the app at any time. Access runs to the end of the billing cycle you paid for. See section 5 and section 7.
- Credits and refunds. Credits are not refundable on request. A credit is returned automatically when a brief or a paid section cannot be prepared, or when a firm size cannot be revealed. Bought credits carry over, and any above the carry-over limit are credited back, never taken away. Upgrades are charged in full today. See section 6.
- AI output. Briefs are drafted by an AI model. They contain estimates and opinions, can be wrong, and must be checked against the court record before you rely on them. Nothing in Quagga is legal advice. See section 9.
- Liability cap. If something goes wrong, each side's liability is limited, usually to the fees you paid in the 12 months before the claim. See section 15.
- Disputes. We try to settle disputes informally first. If that fails, disputes go to the courts in Hennepin County, Minnesota, with no jury. See section 18.
- Acceptable use. Quagga is for your own business development. No resale, no scraping, no harassment of the lawyers or parties named in a case, and no use for employment, credit, insurance or housing decisions. See section 10.

1. Who we are, and accepting these Terms
1.1 Who we are. Quagga is operated by Matthew Maus, an individual doing business as Q Sales ("Q Sales", "we", "us"). Our address for legal notices is 5590 Harding Ln, Shorewood, MN 55331. You can write to us at matthew.maus@mqsale.com.
1.2 Who "you" are. "You" means the business that opens a Quagga account, and every person who uses Quagga as part of that account. The person who signs up accepts these Terms on behalf of the business. Each person invited to the account also accepts these Terms when they join.
1.3 Business use only. Quagga is sold to businesses, not to consumers. By signing up or joining an account, you confirm that:
- you are using Quagga for a business, not for personal, family or household purposes;
- you are at least 18 years old;
- the business is organized in, or has a place of business in, the United States; and
- if you sign up, you have authority to bind the business to these Terms.
If you sign up as a sole proprietor, you are the business, and you agree to these Terms in that capacity.
1.4 How you accept. You accept these Terms by ticking the box that says you agree to them when you sign up, when you accept an invitation, or when you buy a plan or credits. We record which version you accepted and when. Reading the Terms through a link in our website footer does not, on its own, make you a party to them.
1.5 Other documents that form part of these Terms. The Privacy Policy and, for the account holder, the Data Processing Addendum apply alongside these Terms once they are published. If you are an Originate customer, your Order Form also applies (see section 19.1).
2. Definitions
These words have these meanings in these Terms.
- Account: the Quagga workspace your business uses, with its members, credits, lists, notes and settings.
- Account Holder: the person who opened the Account for the business. The Account Holder controls the Account and its billing, and is the only person who can change the plan.
- Member: any person with a login to the Account, including the Account Holder. Members have a role (Admin, Manager or Rep) that controls what they can do.
- Credit: the unit Quagga is priced in. Team credits belong to the Account and any Member can spend them. Personal credits are bought by one Member for their own use within the Account. Credits are either allowance credits (the monthly credits that come with a plan) or purchased credits (extra credits bought at any time).
- Signal: a court event recorded on a case's docket that Quagga watches for, such as a protective order, a motion to compel or a deposition notice.
- Opportunity: a distinct case in which at least one Signal has fired, shown in your feed.
- Unlock: spending a credit to see an Opportunity in full.
- Brief: the written analysis of an Opportunity that Quagga prepares, in three sections: Case summary, Opportunity insight, and a third section that follows your vendor type.
- Court Records: dockets, docket entries, orders, opinions and other records published by a court.
- Source Filings: documents filed in a case by the parties or their lawyers, such as motions, briefs and reports, which Quagga retrieves from the court record.
- Output: everything Quagga shows or delivers to you, including Opportunities, Signals, Briefs, firm sizes, Court Records, Source Filings, CSV exports and printouts.
- Customer Data: the information you and your Members put into Quagga, such as notes, lists, pipeline stages, assignments, saved views, settings and Member names and email addresses.
- Monitor: a saved set of Signals, courts and case types that Quagga follows for your Account.
- Plan: the subscription your Account is on (Signals, Intelligence or Originate, at a given size).
- Order Form: a signed document or written order between you and us for an Originate plan or another plan agreed with us directly.
3. The service
3.1 What Quagga does. Quagga watches federal district courts nationwide. It reads each docket for Signals and shows your team the court and, where the court record has them, the case type and the law firms on the case. When a new docket entry matches a Signal your Account follows, in the courts and case types it chose, the case lands in your feed as an Opportunity. When you unlock an Opportunity, you see the case name and docket number, the docket sheet, counsel of record and a Brief, to the extent your Plan includes them.
3.2 What Quagga does not cover. Quagga does not cover state courts, bankruptcy courts or appellate courts. Courts publish different amounts of docket activity, so the signals available vary by court. Quagga may miss a docket entry, show it late, or classify it differently from how you would.
3.3 Freshness. Court feeds are checked every hour. That describes how Quagga is built. It is not a promise that any record will appear within an hour, or at all, and it is not a service-level commitment.
3.4 What Quagga does and does not email. Matching Opportunities appear in your feed; nothing is emailed. We do send account and transactional emails: invitations, password resets, receipts, payment notices, notices about your credits, and legal notices such as changes to these Terms. You cannot opt out of those while you have an Account, because they tell you about your money and your rights.
3.5 Changes to features. Quagga will change over time. We may add, change or remove features. If we remove or materially reduce a feature included in your paid Plan, we will tell you at least 30 days in advance by email and in the app, and you may cancel and receive a pro rata refund of prepaid unused subscription time.
4. Accounts and seats
4.1 One person per login. Every Member has their own login. Credits are priced per person: one credit unlocks one Opportunity, for one person. You may not share a login, or let more than one person use a single seat.
4.2 Seat caps. Signals allows up to 20 Members. Intelligence allows up to 30 Members. Originate has no cap on Members. Deactivated Members do not count toward the cap.
4.3 Who sees what. An unlocked case is visible to the person who unlocked it and to the Account Holder; a teammate who wants it spends their own credit. On Intelligence, Members can share lists and views, @mention each other and assign work. On Signals, lists and views are private.
4.4 Security. Keep your password confidential and tell us at once at matthew.maus@mqsale.com if you think someone else has used your login. You are responsible for activity under your Account's logins, except activity caused by our own failure to keep the service secure.
4.5 The Account Holder is responsible for Members. The business is responsible for everything its Members do in Quagga, and for making sure they follow these Terms. A Member's actions in the Account (such as spending team credits or buying credits) bind the business.
4.6 Roles and deactivation. Admins can invite Members, change roles and deactivate Members. The Account Holder's role cannot be changed and the Account Holder cannot be deactivated. When a Member is deactivated, an Admin reassigns their Opportunities and lists as part of the process, and their unlocks move with the reassigned Opportunities. What happens to their personal credits is in section 6.9.
5. Plans, billing and renewal
5.1 Plans. Signals and Intelligence are bought online with a monthly credit allowance. Originate starts with a call and is agreed in an Order Form. The current self-serve Plans are:
| Plan | Monthly price | Team credits each month | Each extra credit | Members | Monitors |
|---|---|---|---|---|---|
| Signals 10 | $30 | 10 | $4.00 | Up to 20 | 1 |
| Signals 50 | $150 | 50 | $4.00 | Up to 20 | 1 |
| Signals 100 | $300 | 100 | $4.00 | Up to 20 | 1 |
| Signals 150 | $450 | 150 | $4.00 | Up to 20 | 1 |
| Signals 250 | $750 | 250 | $4.00 | Up to 20 | 1 |
| Signals 375 | $1,125 | 375 | $4.00 | Up to 20 | 1 |
| Intelligence 75 | $375 | 75 | $6.00 | Up to 30 | 3 |
| Intelligence 125 | $625 | 125 | $6.00 | Up to 30 | 3 |
| Intelligence 200 | $1,000 | 200 | $6.00 | Up to 30 | 3 |
| Intelligence 300 | $1,500 | 300 | $6.00 | Up to 30 | 3 |
| Intelligence 500 | $2,500 | 500 | $6.00 | Up to 30 | 3 |
| Originate | Custom | Custom | Custom | No cap | Agreed with you |
The Pricing page shows the current Plans and what each one includes. We bill monthly only. There is no free trial.
5.2 Monthly renewal. Your Plan renews automatically every month, on the same day of the month your billing cycle started, at the then current price of your Plan, until you cancel. Your card is charged at each renewal. You can cancel at any time in the app (see section 7.1).
5.3 Payment. Payments are processed by Stripe. Your card is charged by Stripe, and your card details are held by Stripe, not by us. By buying a Plan or credits, you authorize us, through Stripe, to charge your payment method for the Plan at each renewal and for any credits you buy. Prices are in U.S. dollars. Any refund we make is paid to the original payment method.
5.4 Taxes. We do not collect sales tax or other taxes today. You are responsible for any taxes that apply to your purchases, other than taxes on our income. If we start collecting tax, we will tell you in advance and show it on your receipts.
5.5 Upgrades. Move to a plan that costs more at any time. It starts now, the new plan's full monthly price is charged today with nothing credited back for the rest of your current month, and the new plan's full monthly credits are added on top of the credits you hold. Credits from your current allowance keep their own expiry date. Your billing cycle restarts on the day of the upgrade.
5.6 Downgrades. A move to a plan that costs less starts when your paid period ends, with nothing charged or refunded, and you can keep your current plan until then. If your Account has more Members than the lower Plan allows, you may need to deactivate Members before the downgrade can take effect; the app tells you if so.
5.7 Plan changes never remove credits. Credits you hold are never removed by a plan change.
5.8 Failed payments. If a renewal payment fails, Stripe will try the card again and we will tell you in the app. While the payment is unpaid, your monthly allowance is not added, but you can still spend purchased and personal credits you already hold. Credits that expired will not be restored. If the payment is still unpaid when Stripe stops retrying, your Plan ends and your Account is treated as cancelled (section 7.4).
5.9 Price changes. We may change the price of a Plan or of extra credits. We will tell you at least 30 days in advance by email and in the app. A new Plan price applies from your first renewal after the notice period ends. If you do not want to pay the new price, cancel before that renewal.
5.10 Pilot and manual plans. We sometimes set an Account up on a Plan directly, for example for a paid pilot, by a separate written agreement and invoice. That kind of Plan does not renew automatically and no card is charged without your action. Its credits are granted once, and unused credits expire at the end of the agreed period. When the period ends the Plan ends; to continue, you choose a Plan in the app at the published price. The written agreement controls if it differs from these Terms.
6. Credits
6.1 What a credit is. A credit is a prepaid license to use part of the service: it is how you unlock Opportunities and buy paid sections. A credit is not money, not a deposit and not stored value. Credits have no cash value and cannot be sold, transferred to another Account or exchanged for cash, except where section 6.6, section 7.7 or section 7.8 says that their value is paid back to you.
6.2 What one credit buys. One credit unlocks one Opportunity, for one person. What an unlock includes depends on your Plan:
- Signals: one credit unlocks the case name and docket number, docket sheet, counsel of record, and a case summary written from the docket text. Two further sections of the Brief, Opportunity insight and the Brief's third section, are 1 credit each. The first one you buy also buys the Source Filings from the docket and rewrites the Brief grounded in them. So a full grounded Brief on Signals is 3 credits. Firm size on locked cases is hidden until revealed, for at most 1 credit.
- Intelligence: one credit unlocks the same, with the Brief grounded in the Source Filings and every section included. On Intelligence, a known firm size shows on locked cases.
- Originate: as agreed in your Order Form.
6.3 Team and personal credits. Each person chooses whether an unlock is paid from team credits or personal credits. Team credits are bought by the Account Holder and come with the Plan. Personal credits are bought by a Member, with that Member's own payment method, for that Member's use within the Account.
6.4 Allowance credits expire. Your Plan's monthly allowance of team credits is added at the start of each billing cycle. Allowance credits that are not spent expire at the end of the billing cycle they were added for. After an upgrade, credits from the earlier allowance keep the expiry date they already had. Allowance credits are spent before purchased team credits, so the credits that expire first are used first.
6.5 Purchased credits do not expire. Buy extra credits at any time, in any quantity: $4.00 a credit on Signals, $6.00 on Intelligence. Purchased credits, team or personal, do not expire. Bought credits carry over from one billing cycle to the next, subject to the carry-over limit in section 6.6.
6.6 The carry-over limit, and what "credited back" means. Bought credits carry over. Any above the carry-over limit are credited back, never taken away. In detail:
- The limit for team credits is two months of your Plan's allowance. For example, on Intelligence 125 it is 250 purchased team credits.
- The limit for each Member's personal credits is two months of your Plan's allowance divided by the number of active Members (rounded down), or 20, whichever is higher.
- When it applies. The limit is checked at the end of each ordinary billing cycle, against the purchased credits you are carrying into the next one. It is not checked when you buy, so you can buy as many as you like inside a cycle. It is not checked at an upgrade. There is no limit on Originate, or on an Account with no Plan.
- One cycle's notice. Purchased credits above the limit are flagged, and we show you in Usage & billing the date on which they will be credited back. Spend them before then and nothing changes.
- Credited back. Any credits still above the limit at the end of that next cycle leave your balance, and their value is paid back to you in the same step. For team credits, the value becomes a credit on your team's next invoices from Stripe; it is not paid out as cash. For personal credits, the value is refunded to the card that bought them, or credited to that Member's billing account with us if a refund is not possible. The value is what you actually paid for those credits, starting with your most recent purchase.
- Never taken away. If we cannot pay the value back for any reason, the credits stay in your balance and remain spendable until we have sorted it out by hand.
6.7 No refunds on request. Credits are not refundable on request. Credits spent on an unlock or a paid section are not refundable. Unused credits are not refunded when you cancel, except as section 7.7 and section 7.8 say.
6.8 Credits returned automatically. A credit is returned automatically when a brief or a paid section cannot be prepared, or when a firm size cannot be revealed. A brief usually takes a few minutes to prepare. When the filings are not yet available it can take longer, and the credit is returned if the brief cannot be finished. If a section is delivered but is limited (for example because some Source Filings could not be retrieved), it is marked as limited and the credit is kept.
6.9 When a Member leaves. If a Member is deactivated, their remaining personal credits become team credits of the Account rather than being lost. They join the Account's purchased team credits, which carry over under section 6.6. They are not refunded to the Member. If the Member is later reactivated, their role, notes and history come back, but not the personal credits.
6.10 When credits can be removed. Credits you hold are never removed by a plan change, and purchased credits never expire. The only ways credits leave your balance are: you spend them; allowance credits expire at the end of their cycle (section 6.4); purchased credits above the carry-over limit are credited back (section 6.6); or one of these exceptions applies:
- Payment reversed. If a payment is refunded, charged back or reversed, the credits it bought are removed. If you have already spent them, we may recover their price from you.
- Termination for breach or fraud. If we end your Account under section 7.5 because of fraud, a serious breach of these Terms or a breach of section 10, unused credits are removed and are not refunded.
7. Cancellation and termination
7.1 You can cancel at any time. The Account Holder can cancel the Plan in the app, under Usage & billing, at any time, without contacting us. You can also write to matthew.maus@mqsale.com and we will cancel it for you.
7.2 Access runs to the end of the billing cycle. If you cancel, access runs to the end of the billing cycle rather than stopping immediately. We do not refund the rest of the cycle you have paid for.
7.3 You can change your mind. Until the end of the billing cycle, you can undo the cancellation in the app and your Plan continues.
7.4 After your Plan ends. After that the feed stops updating, but everything you have already unlocked stays readable. Specifically:
- your feed stops showing new Opportunities from the date your Plan ended;
- everything already unlocked stays readable by the people who could see it, until the Account is deleted;
- purchased team credits and personal credits you hold stay yours, and you can still spend them on Opportunities already in your feed, on the terms of the last Plan you held;
- unused allowance credits expire at the end of the cycle as usual; and
- you cannot buy more credits until you choose a Plan again.
7.5 When we can suspend or end your Account. We may suspend or end your Account, or a Member's access, if:
- you materially breach these Terms and do not fix the breach within 10 days after we tell you about it;
- you breach section 10 (acceptable use), or we reasonably believe you are using Quagga for fraud or in a way that could harm others, in which case we may act at once;
- a payment is unpaid after Stripe stops retrying, or is charged back;
- the law, a court or a government agency requires it; or
- we lose access to PACER or another source Quagga depends on, or continuing to provide Quagga would expose us to a real legal risk.
Where it is reasonable, we will tell you before we act and give you a chance to respond.
7.6 Deleting your Account. The Account Holder can ask us to delete the Account by writing to matthew.maus@mqsale.com. We will confirm when it is done. Once the Account is deleted, unlocked content is no longer available. We keep the records the law requires, and records of what was agreed and charged (acceptance records and the credit ledger), as the Privacy Policy will explain once it is published.
7.7 If we end your Account for a reason that is not your fault. If we end your Account under the last two bullets of section 7.5, we will refund prepaid unused subscription time, pro rata, and the price you paid for unused purchased credits.
7.8 If Quagga shuts down. If we decide to stop offering Quagga, we will tell you at least 60 days before it closes, by email and in the app. During that time you can export your Opportunities to CSV and print your unlocked Briefs. We will refund prepaid unused subscription time, pro rata, and the price you paid for unused purchased credits.
7.9 What survives. Sections 6.10, 7.6 to 7.9, 8, 9, 10 (for Output you keep), 11, 13, 14, 15, 16, 18 and 19 continue after your Account ends, along with any amounts either side owes.
8. Data sources and third parties
8.1 Where the data comes from. Quagga's data comes from public federal court records (PACER). Quagga retrieves the records under its own PACER account, and also uses other public sources of the same court records, such as CourtListener, run by Free Law Project. Firm size is read from law firms' own websites and published rankings, collected by our crawler, QuaggaFirmBot.
8.2 You never need a PACER account. Quagga retrieves the court records, and your credits cover them. PACER fees are built into the price of credits. You have no separate liability to PACER for records Quagga retrieves for you.
8.3 No affiliation. Quagga is not affiliated with, endorsed by or acting for any court, the Administrative Office of the U.S. Courts, the PACER Service Center or Free Law Project. Do not tell anyone otherwise.
8.4 Court records are shown as filed. Court Records and Source Filings are shown as the court published them. We do not check or correct them. They may contain errors, may be incomplete, and may include information that should have been redacted or sealed. Under the federal rules, the responsibility to redact a filing rests with the person who filed it, not with the court or with us. We are not responsible for the content of Court Records or Source Filings, or for redaction or sealing failures in them.
8.5 Removal on notice. We may remove or restrict any record, filing, Brief or firm size from Quagga at any time, including when a court, a party, a lawyer or an affected person asks us to, or when a record is sealed or withdrawn. If we remove something you have unlocked, you must stop using any copy of it you have kept, including in exports. Removing an item does not refund the credit spent on it, unless the removal is because of an error on our side.
8.6 Personal information in filings. If you come across personal information in a filing (such as a Social Security number, a birth date, a financial account number or the name of a minor), you must not copy, use or share it for any purpose. Please tell us at matthew.maus@mqsale.com so we can remove it.
8.7 Things outside our control. Quagga depends on PACER, on court systems, and on other third parties. These systems have outages and scheduled maintenance, and they can change how they work or stop giving us access. When that happens, Quagga may be late, incomplete or unavailable, and we are not responsible for it (see also section 19.3).
9. AI-generated content
9.1 Briefs are drafted by AI. Briefs are drafted by an AI model from public docket text and public court filings. Our AI provider is Anthropic (the Claude API).
9.2 What is sent to the model. The only thing from your account that shapes a brief is the vendor type you chose at setup; if you chose Other, the description you typed is sent as written. No names, emails, notes, lists or payment details are sent to it. We will not change this without telling you at least 30 days in advance under section 17.
9.3 No training on your data. We do not use Customer Data to train AI models, and we do not let our AI provider do so.
9.4 AI output can be wrong. A Brief can be wrong, out of date or incomplete. It can misread a filing, mix up facts or people, or state something that is not in the record. Treat every Brief as a starting point for your own research.
9.5 Estimates and opinions, not facts. Briefs contain estimates (for example, numbers of custodians, data volumes, testimony scope or review staffing) and opinions (for example, that a case is a "high value opportunity" or that a settlement is or is not likely). These are the model's analysis of the public record. They are not facts, not predictions you can rely on, and not a promise that any case will produce work for you. Before you rely on a Brief, or repeat anything in it to anyone, check it against the docket and the Source Filings.
9.6 Signal strength is not a prediction. Strength describes the kind of court event. It is not a prediction about the case. A fit band describes how a case matches what you told us you sell. Neither is a guarantee.
9.7 Not legal advice. Quagga is a sales tool. It is not a law firm and does not give legal advice. Nothing in Quagga is legal advice, and using Quagga does not create a lawyer and client relationship with anyone.
9.8 Corrections and takedowns. If you, or anyone named in a Brief, think a Brief is inaccurate, write to matthew.maus@mqsale.com with the case and what is wrong. We will review the request promptly and correct, limit or remove the Brief where appropriate. This channel is open to people who are not our customers.
10. License and acceptable use
10.1 Your license. While your Account is active, and afterward for the content that stays readable under section 7.4, we give you a limited, non-exclusive, non-transferable license to use Quagga and its Output for your business's own internal business development. You may export Opportunities to CSV and print unlocked Briefs, and you may keep those exports in your own internal systems (such as your CRM) for that purpose.
10.2 What you must not do. You must not, and must not let anyone else:
- Resell or redistribute. Sell, license, publish, share or otherwise make available any Output, including Briefs, Source Filings, Court Records retrieved through Quagga, firm sizes and CSV exports, to anyone outside your business.
- Scrape. Use bots, scrapers, crawlers, scripts or any automated means to access, copy or extract data from Quagga, other than the export feature we provide.
- Get around the product's limits. Circumvent unlocks, credits, masking of locked cases, seat caps or any security or access control, or probe or test the security of Quagga without our written permission.
- Reverse engineer. Decompile, reverse engineer or try to derive the source code, models, scoring or classification methods behind Quagga, except to the extent the law allows despite this restriction.
- Build a competing product. Use Quagga or its Output to build, improve or supply a competing product, service or dataset.
- Train AI. Use Output to train, fine tune or evaluate any artificial intelligence or machine learning model.
- Make decisions about people. Use Output, in whole or in part, to decide anyone's eligibility for employment, credit, insurance, housing or any similar purpose, or for any purpose covered by the Fair Credit Reporting Act or similar laws. Quagga is not a consumer reporting agency.
- Harass or mislead. Harass, threaten or intimidate any lawyer, law firm, party or other person named in Quagga, or contact them in a way that is misleading, including by implying that you are affiliated with a court, a party or Quagga, or that you have information you do not have.
- Contact represented parties about their case. Contact a party who is represented by a lawyer about the merits of their case, or encourage anyone else to do so.
- Contact the court. Use Quagga to contact, or to try to influence, any judge, juror, prospective juror or member of court staff about a case.
- Trade on Output. Buy or sell securities, or advise anyone to, based on Output.
- Interfere with litigation. Use Output to interfere with, or gain an improper advantage in, any legal proceeding.
- Misuse personal information. Use personal information found in Court Records or Source Filings for any purpose other than legitimate business outreach to lawyers and firms about your services, or use Output to build profiles of individuals.
- Share logins. Share a login, or let more than one person use one seat (section 4.1).
- Break the law. Use Quagga in any way that breaks the law or anyone's rights, or put unlawful content, or data you have no right to store, into Quagga.
- Overload the service. Interfere with or overload Quagga, or upload anything harmful such as malware.
10.3 Your outreach is your responsibility. Contacts shown in Quagga are lawyers and firms named in the public record. How you contact them is your responsibility. You must follow every law and rule that applies to your outreach, including anti-spam, telemarketing and privacy laws, and any professional-conduct rules that apply to you or to the people you contact.
10.4 Enforcement. If you breach this section, we may remove content, suspend Members, or suspend or end your Account under section 7.5. We may also take legal action. If we do not act on a breach straight away, we have not waived our right to act on it, or on any later breach.
11. Intellectual property
11.1 What we own. We own Quagga: the software, the website, the design, our compilation and selection of data, our Signal classifications, scoring, fit bands and firm-size bands, and the Briefs we produce. Except for the license in section 10.1, these Terms give you no rights in them.
11.2 What we do not own. We do not claim ownership of public Court Records or of Source Filings written by parties and their lawyers. Court documents created by federal officials are generally in the public domain. Source Filings may be protected by their authors' copyright. Your right to use them through Quagga is limited to the license in section 10.1.
11.3 What you own. You own your Customer Data. You give us a limited license to host, copy, process and display Customer Data only to provide and support Quagga for you, to keep it secure, and as the law requires. We do not use Customer Data to train AI models.
11.4 Feedback. If you send us ideas or suggestions about Quagga, we may use them without any obligation to you.
11.5 Copyright complaints. If you believe material in Quagga infringes your copyright, write to matthew.maus@mqsale.com with: the work you say is infringed, where it appears in Quagga, your contact details, a statement that you believe in good faith the use is not authorized, and a statement, under penalty of perjury, that your notice is accurate and that you own or are authorized to act for the owner of the right. We will review it and remove or disable the material where appropriate.
12. Privacy
12.1 Our Privacy Policy. The Privacy Policy, once published, explains what personal information we collect and how we use it. It forms part of these Terms from when it is published. For personal information in Customer Data, the Data Processing Addendum also applies once it is published.
12.2 Your own compliance. When you use Output, including the names and details of lawyers and other people in it, you are responsible for complying with the privacy and data protection laws that apply to you.
12.3 No sensitive data in notes. Do not put sensitive personal information into notes, lists or any other Customer Data. That includes Social Security numbers, financial account numbers, health information and information about children.
13. Confidentiality
13.1 What is confidential. "Confidential information" means non-public information one side shares with the other in connection with Quagga that a reasonable person would see as confidential. Your Customer Data (including your lists, notes and pipeline) is your confidential information. Non-public details of Quagga, such as features not yet released and our pricing agreed in an Order Form, are ours. Court Records and other public information are not confidential information.
13.2 What each side does. Each side will use the other's confidential information only for the purposes of these Terms, will protect it with reasonable care, and will share it only with people who need it for those purposes and are bound to keep it confidential. Either side may disclose it if the law or a court requires, after giving the other side notice where the law allows.
14. Warranties and disclaimers
14.1 Our limited promise. We promise that Quagga will substantially work as described in these Terms and on our website. If it does not, tell us, and we will try to fix it. If we cannot fix it within a reasonable time, you can cancel and we will refund prepaid unused subscription time, pro rata, for the period it did not work. That is your only remedy under this promise.
14.2 Disclaimer. Please read this carefully.
Apart from the promise in section 14.1, Quagga and all Output are provided "as is" and "as available". To the extent the law allows, we make no other promises or warranties, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, title or non-infringement.
In particular, we do not promise that:
- any Brief, estimate, classification, firm size or other Output is accurate, complete or up to date;
- Quagga will find every relevant case or docket entry, or find it in time;
- any Opportunity will lead to business for you;
- Court Records or Source Filings are accurate, complete, properly redacted or properly sealed; or
- Quagga will be uninterrupted, error free or always available.
You are responsible for checking Output against the court record before you rely on it.
15. Limitation of liability
15.1 No indirect damages. To the extent the law allows, neither side is liable to the other for any indirect, incidental, special, consequential or punitive damages, or for lost profits, lost revenue, lost business opportunities or lost data, however caused, even if it was told they were possible.
15.2 Cap. To the extent the law allows, each side's total liability arising out of or relating to these Terms or Quagga is limited to the fees you paid us for Quagga in the 12 months before the event giving rise to the claim.
15.3 What the limits do not cover. Sections 15.1 and 15.2 do not limit:
- liability for fraud, willful misconduct or gross negligence;
- liability for a violation of law that cannot be limited by contract;
- your obligation to pay fees and charges you owe;
- your liability for breaching section 10 (acceptable use) or for infringing or misappropriating our intellectual property; or
- any liability that the law does not allow to be limited.
These limits apply whatever the legal theory of the claim, and even if a remedy fails of its essential purpose.
16. Indemnities
16.1 By you. You will defend us against any claim by a third party, and pay any resulting damages, costs and reasonable lawyers' fees, to the extent the claim arises from: your or your Members' use of Output in breach of these Terms; your outreach to anyone, including any breach of anti-spam, telemarketing, privacy or professional-conduct rules; your breach of section 10; or your Customer Data.
16.2 By us. We will defend you against any claim by a third party that the Quagga software, as we provide it, infringes a U.S. copyright or misappropriates a trade secret, and pay any resulting damages and costs awarded or agreed in settlement. This does not cover claims about Court Records, Source Filings, other third-party content, or the content of Output derived from them; claims caused by your Customer Data, your combination of Quagga with something else, or your breach of these Terms. If such a claim is made, we may change Quagga so it no longer infringes, get you the right to keep using it, or end your Account and refund prepaid unused subscription time and unused purchased credits. This section is subject to section 15.
16.3 How it works. The side asking to be defended must tell the other side promptly about the claim, let it control the defense and settlement (but no settlement may admit fault for, or impose obligations on, the defended side without its consent), and give reasonable help at the other side's expense.
17. Changes to these Terms
17.1 Material changes. If we make a change to these Terms that materially affects your rights or obligations, we will:
- tell you by email (to the Account Holder and to every Member) and in the app, at least 30 days before the change takes effect;
- explain what is changing, and show the new version with its effective date; and
- ask each Member to accept the new version at their next sign-in on or after the notice.
17.2 If you do not agree. If you do not want to accept a material change, you can cancel before it takes effect. If you do, we will refund prepaid unused subscription time, pro rata, from the date you cancel. Until you accept the new version, the version you last accepted continues to apply to you. If you have not accepted the new version by the time it takes effect, we may require you to accept it before you can keep using Quagga, and if you still do not accept it, we may end your Plan at the end of the current billing cycle with the same refund.
17.3 Other changes. Changes that do not materially affect your rights, such as corrections, clarifications, new contact details or descriptions of new features, take effect when we publish them. Every change, material or not, gets a new version number and is listed in the version history (section 20).
17.4 Changes required by law. If a change is required by law or a court, it may take effect sooner than 30 days, but we will still tell you as soon as we can.
18. Disputes, governing law and venue
18.1 Talk to us first. If you have a dispute with us, or we have one with you, the side with the dispute will first send the other a written notice describing it and what it wants. Notices to us go to matthew.maus@mqsale.com and to the address in section 1.1. We will both try in good faith to resolve it for 30 days after the notice. Neither side may start a lawsuit until those 30 days have passed, except to seek urgent relief to stop a breach of section 10, section 11 or section 13.
18.2 Governing law. These Terms, and any dispute about them or about Quagga, are governed by the laws of the State of Minnesota, without regard to its conflict-of-laws rules.
18.3 Courts. Any lawsuit about these Terms or Quagga must be brought only in the state courts located in Hennepin County, Minnesota or in the United States District Court for the District of Minnesota. Both sides agree to the personal jurisdiction of those courts. There is no arbitration.
18.4 Jury waiver. To the extent the law allows, you and we each give up the right to a trial by jury in any lawsuit about these Terms or Quagga.
18.5 Time limit. To the extent the law allows, a claim must be brought within one year after the side bringing it knew or should have known of it.
19. General
19.1 Order of precedence. If documents conflict, this order applies: first, an Order Form; second, the Data Processing Addendum once it is published, on how personal information in Customer Data is processed; third, these Terms; fourth, our other policies, such as the Privacy Policy once it is published. An Order Form for Originate incorporates these Terms by reference.
19.2 Assignment. You may not transfer these Terms or your Account without our written consent. We may transfer them to a business that takes over Quagga, after telling you.
19.3 Things beyond reasonable control. Neither side is responsible for a delay or failure caused by events beyond its reasonable control, including outages, maintenance or changes of PACER, court systems or other government data systems; failures of internet, hosting or payment providers; natural disasters; government action; and labor disputes. This does not excuse a failure to pay.
19.4 Severability. If a court finds any part of these Terms unenforceable, that part is changed as little as needed to make it enforceable, and the rest stays in force.
19.5 Entire agreement. These Terms, together with the documents in section 1.5 and any Order Form, are the whole agreement between you and us about Quagga. They replace earlier discussions and proposals on the same subject. Statements we make on our website about how Quagga works are part of the description of the service, and we have written the important ones into these Terms.
19.6 No waiver. If we do not enforce a right straight away, we have not given it up.
19.7 Notices. We send notices to the Account Holder's email address, and in the app. Keep that address up to date. You send notices to matthew.maus@mqsale.com, and legal notices also to the address in section 1.1. An email notice is received when it is sent, unless the sender learns it was not delivered.
19.8 Export and sanctions. You confirm that neither you nor your business is on a U.S. government sanctions or restricted parties list, and you will not use Quagga in breach of U.S. export control or sanctions laws.
19.9 Independent parties. You and we are independent contractors. These Terms do not create a partnership, joint venture, employment or agency relationship.
19.10 No third-party beneficiaries. No one other than you and us has rights under these Terms.
19.11 Headings and examples. Headings, the Key terms box and examples are for convenience. Words like "including" mean "including without limitation".
20. Version and earlier versions
This is Version 1.0 of the Quagga Terms of Service, effective 2026-11-04. Each version has a version number and an effective date. This version and every earlier version stay available at app.quaggaintelligence.com/legal/terms, so the version you accepted can always be read. We record which version each person accepted and when.
